SOP 50 10 8.1 takes effect on October 1, 2026, replacing SOP 50 10 8. Which version governs a given loan is determined by when SBA assigns the loan number, not when the application was submitted.
Updated October 1, 2026. Six days before 8.1 took effect, SBA issued technical updates to it (Information Notice 5000-882227). One of them narrowed the quality of earnings independence clause. It originally read that the report “may not be prepared by or for the borrower or seller”; it now reads “must not be prepared by or for the seller.” A buyer-commissioned report is therefore no longer disqualified, but a lender still “may not rely upon a QoE report prepared by another party without a review being performed by one of their vendors,” and the review findings must be retained in the loan file with the original report. Full analysis of the September 25 update and what it means for lender files. The business valuation received no equivalent change: a lender “may not use a business valuation prepared for the Applicant or the seller,” with no review path and no dollar threshold.
The full requirement is set out on our SBA quality of earnings page.
This page is a working reference to what changes for business acquisitions, written from a financial due diligence perspective. Every rule below is taken from the text of SOP 50 10 8.1 itself rather than from secondary summaries. It is not legal or lending advice.
The headline change: a mandatory quality of earnings
For Initial Acquisition and Business Expansion transactions where the business purchase price is $3 million or more, a quality of earnings report is now required. The threshold is measured before buyer equity, seller debt or other financing. Owner Buyout and ESOP & Cooperative transactions are exempt.
The report must contain a cash proof reconciling bank statements to the income statement and the tax return, covering the trailing twelve months and the last two fiscal years, plus documented add-backs and an assessment of customer concentration and contract continuity. The lender must use the QoE earnings figure in the debt service coverage calculation and retain the report in the loan file.

Four transaction categories, four sets of rules
Where SOP 50 10 8 had a single expansion concept, 50 10 8.1 defines four categories. Initial Acquisition is the default unless the lender documents otherwise.
| Category | DSC floor | Equity injection |
|---|---|---|
| Initial Acquisition | 1.25x | 10%, cannot be reduced |
| Business Expansion | 1.15x | 10% baseline, lender may reduce or eliminate |
| Owner Buyout | 1.25x | 10%, waivable |
| ESOP / cooperative | 1.25x | Exempt |
Valuation: the $250,000 self-valuation tier is gone
Under the prior SOP a lender could perform its own business valuation where the financed business value, net of real estate and equipment, was $250,000 or less. That exception does not appear anywhere in SOP 50 10 8.1, which means every change of ownership requires an independent Qualified Source valuation commissioned by and prepared for the lender. The valuation must support the full business purchase price; any excess must come in as equity.
This is a second, separate cost line from the quality of earnings, and it applies to far more deals because it has no dollar threshold. The SOP names the qualifying credentials: Accredited Senior Appraiser (ASA), Certified Business Appraiser (CBA), Accredited in Business Valuation (ABV), Certified Valuation Analyst (CVA) and Business Certified Appraiser (BCA). Each must be “independent of the loan production function, not involved in the approval of the transaction, and must not have the appearance of a conflict of interest.”
Other changes worth knowing
- Seller notes. Full-standby notes remain usable as equity up to half the requirement, but interest-only structures are underwritten on an amortization not exceeding ten years, refinancing requires the note to have been in place and current for 36 months rather than 24, and the consulting window extends to 24 months aggregate.
- 100% financing. Available only where the lender documents a liquidity determination and permanent working capital stays out of the term loan. Two full fiscal years under current ownership are now mandatory, the NAICS test loosens from 6-digit to 4-digit industry group, and 100% ownership plus equivalent personal guarantors are required.
- Permanent working capital. Where the equity requirement is eliminated, permanent working capital cannot be included in this or any other 7(a) term loan within 90 days. It must come from existing cash or a line of credit.
- 7(a) Small loans. No longer permitted for change of ownership transactions.
- Real estate maturity. The 51% shortcut to a 25-year term is removed. Use a blended weighted average, or separate loans.
What this means in practice
For lenders
The quality of earnings is a workflow change more than a documentation change, because the earnings figure it produces drives the coverage calculation. If the analysis rejects add-backs the seller proposed, coverage falls and the supportable loan falls with it. We wrote a practical sequence for this: an SBA lender checklist for October 1.
For buyers
Budget for the report and build the time into exclusivity. Better still, run the cash verification before the letter of intent rather than after: it is cheaper than a sampled review, more diagnostic, and it surfaces an add-back problem while walking away still costs nothing. See how long a quality of earnings takes.
For sellers
If your business is likely to sell at $3 million or more to an SBA-financed buyer, the add-back schedule you have been carrying will be examined by a third party working for the lender, not for you. Finding out what survives that examination is better done before going to market than during diligence.
How QoEAgent fits
We deliver the full quality of earnings the SOP describes, not just the cash proof. The engagement builds in three layers: a complete proof of cash within 24 hours of data ingestion; GAAP-formatted financial statements, including reported EBITDA, within 48; and QoE Essentials, the normalized EBITDA schedule with every add-back documented, working capital, customer concentration and a change-of-control review of key contracts. On a recent trailing-twelve-month engagement the proof of cash covered 431 manually scanned bank statements across 36 bank accounts and 29,823 general ledger transactions, at a 99.4% average match rate, with a single $32 variance left flagged for a person. An SBA lender checklist for October 1 sets out what the full report must contain.
We are an independent firm engaged by the party commissioning the work, not a self-service tool a borrower runs on their own deal, and the conclusions are signed. Our founders hold the CFA, ASA and CPA/ABV credentials. Get in touch, or see what a quality of earnings costs.
