What an SBA Cash Proof Must Contain

Short answer: a cash proof is an independent reconstruction of a business’s cash receipts and disbursements, reconciled to both the income statement and the tax return, covering the trailing twelve months and the two preceding fiscal years. It is not a bank reconciliation, and it is not a sample.

The cash proof sits inside the SBA quality of earnings report; see that page for the whole requirement.

Under SOP 50 10 8.1, effective October 1, 2026, a cash proof is a required component of the quality of earnings report SBA now requires on 7(a) initial acquisitions and business expansions at or above a $3 million purchase price.

The three-way tie

The distinguishing feature of a cash proof, versus the bank reconciliation a bookkeeper performs at month end, is that it reconciles in three directions at once.

Bank to income statement

Every deposit is traced to recorded revenue, and every disbursement to recorded expense. The question is not whether the ledger balances against itself — it will — but whether the money that actually moved matches the money the seller says moved.

Bank to tax return

The tax return is the one financial statement the seller filed under penalty of perjury. Where the internal books and the return diverge, the divergence is the finding. It is routine for a lower middle market business to have a management profit and loss that flatters the return by a meaningful margin, and the buyer is usually being asked to pay a multiple of the flattering number.

Period to period

Monthly, not cumulative. A thirty-six-month total can tie perfectly while hiding a December that was stuffed, a January that was empty, and a liability that appeared and vanished in between.

What makes it hard

The mechanics are simple. The volume and the source documents are not.

  • The statements are scans. Not exports. Photocopies of printouts, fed through a scanner at an angle, occasionally photographs taken on a phone. The numbers sit in tables with no ruling lines, breaking across pages that do not repeat the header.
  • There are more accounts than anyone expects. Operating, payroll, savings, a card account, one per location, one the owner opened years ago and forgot. Each is a separate reconciliation and a separate opportunity for money to appear to come from nowhere.
  • Transfers look like revenue. Money moving between accounts the same owner controls is neither a receipt nor a disbursement. Miss the pairing and you have invented revenue. Over-suppress and you have hidden real cash movement.
  • Merchant processors settle net and late. A card sale on Friday arrives Tuesday, less fees, batched with other days. The deposit never equals the sale.
  • Cash businesses have a gap by construction. What was rung up and what was banked are different numbers. Closing that gap — or documenting honestly that it cannot be closed — is the entire exercise.

Each of these is examined in more detail in four things that break a proof of cash.

What the deliverable looks like

A cash proof that survives review has, at minimum:

  • Receipts and disbursements reconstructed per account, per month, across the full period rather than sampled months.
  • Every matched item traceable back to the bank statement line and the general ledger entry behind it.
  • Transfers and sweeps identified and netted, with the decision visible and reversible rather than buried.
  • A reconciliation to the tax return as well as the internal financials, with differences explained rather than smoothed.
  • An exception list — the items that did not tie — presented as findings for a person to resolve, not silently absorbed.

The last point separates a usable deliverable from a persuasive one. A cash proof with no exceptions on a lower middle market business is not a clean bill of health. It is a sign that something was rounded off.

What it takes in time

Manually, for a multi-account business over a trailing twelve months plus two fiscal years, this is weeks of analyst time. That is precisely why the sampled approach became standard practice, and precisely what the new SOP closes off.

On a recent trailing-twelve-month engagement we processed 431 manually scanned bank statements across 36 bank accounts and reconciled $100.7 million of deposits and $99.0 million of withdrawals, with 29,823 general ledger transactions behind them. Revenue and expenses each reconciled to within one percent of bank statement cash receipts and disbursements, at a 99.4% average match rate. One item remained flagged at the end: a $32 difference at a single location.

The cash proof is one required part of the SBA quality of earnings, not the whole report. Our full SBA engagement, QoE Essentials, adds the normalized earnings, add-back documentation and revenue-base assessment the SOP also requires. What the full QoE must contain.

If you are a lender building this into your underwriting before October 1, or a buyer who wants the cash verified before the credit package is assembled, get in touch. Pricing is published: what a quality of earnings costs.

Where QoEAgent sits in this. We are the independent provider, engaged directly by the lender — not a piece of software a borrower, broker or seller runs on their own deal. Our technology does the extraction and reconciliation work: parsing scanned bank statements, rebuilding cash receipts and disbursements, mapping the trial balance. A credentialed professional then reviews that work, forms the conclusions and signs the report. Josh Cashman holds the CFA and ASA; Ron Neufeld holds the CPA/ABV. That is exactly the arrangement SOP 50 10 8.1 contemplates: an independent, experienced financial professional whose report is prepared for the lender.
